The following are previous humanoid / cryptid encounter reports received by various agencies worldwide:

THE GLIDING CREATURE

Uniontown, Pennsylvania - August 3, 2000 - 10:00pm

Five witnesses observed what they described as an alien "glide" across a field. The witnesses described the being as about 5 feet tall with long slender extremities. It carried a brown "staff" about 5 feet long. It was observed for about a minute from a distance of about 250 feet. No apparent disturbances to the area around the being were reported. The creature appeared to glide about 6 inches above the ground, according to the witnesses. Weather conditions were cool and clear with no wind. No sounds were reported and witnesses commented on it seeming abnormally quiet at the time. Crickets and other normal background noises were absent. The witnesses lost sight of the being when they drove a short distance up the road to an area which they thought would offer a better view, only about 75 to 100 ft from where the being was seen. A small knoll obstructed their view as they drove. When they got to the closer location, the being was gone. The witnesses returned home after the encounter. They reported no serious effects from their sighting, although three of them did claim to be very tired the next day.

SMALL BEINGS WITH GLOWING RODS

Gulf Breeze, Florida - January 12, 1988 - 5:30pm

Ed Walters was in his pickup truck on US 98 when an object appeared ahead of him shining a white beam of light through the windshield partially paralyzing his forearms and hands. He stopped the truck to the side of the road. He now felt numb and his arms were stinging. The object approached quickly and now hovered 3-feet above the roadway. The witness was able to grab his shotgun and exited the truck attempting to crawl under it. At this point the object brightened and it came closer. The witness was again hit on the back of his legs by a white beam of light. The object now began rotating and a blue beam of light appeared under it. The beam apparently deposited five small beings on the roadway, all wore some type of shield like coverings had large black oval shaped eyes and carried glowing rods. The beings now walked towards the witness, who then managed to crawl back into the truck and was somehow able to start it, he then drove quickly away from the area at high speed.

"LOOKED LIKE A MOTHMAN"

Loma Linda, California - February 11, 2007 - afternoon

The witness was driving home in the South Hills area when she noticed a strange sight in the sky. She saw a man-sized "something" in the sky. It was speeding along and turning in a geometric spiral downward into a housing area. She did a double take, and parked her car to get a better look. At first she thought it was a kite. Then she thought that it was a "bunch of helium balloons". But the lower it got the more it looked like a man with a jet pack on, or at least some kind of wings on his back. She realized that it was not a kite as it moved in such a way and at such a rate of speed, that it had no earthly tether. Nor was it suspended from anything. It got to be about 100 feet off the ground, when she noticed a few people across the street looking at it too. It finally did settle somewhere in the neighborhood, a few streets away. Another witness mentioned to her that whatever it was "it looked like Mothman".

THE TALL BLACK FIGURES

Mamaroneck, New York - Summer 1965 - night

The witness remembers waking up and seeing a black shape standing over her, looking down at her. She is apparently became paralyzed. She remembers seeing people from all over the apartment complex were gathered in the courtyard. She went out the window into this courtyard and observed an object hovering about six feet off the ground. The people were all in a trance and were being taken up one at a time into the object. Other tall black figures were around the courtyard.

When she was taken inside the craft she was met by two of the black figures and placed horizontally on a table. One of the figures comes to her right side, the other to her left. One examines her with a tube like instrument, which is 12 inches long, and approximately one inch in diameter with a round end, it had a cord hooked to it. She is asked to look at the figure's hands. It has three long fingers and a thumb. She then looks at the face, but can only see eyes, but not well. The tube is then inserted into her vagina. There is no pain. Then a smaller instrument, which looks like a metal eyedropper, is inserted up her nose. She then gets up and looks at the table. It is like cold metal and it has one pedestal for a base. She then steps down through a glowing hole on the floor of the object and is returned to the courtyard. She goes back into her apartment through the window, returns to bed, and falls asleep.

An addendum in another reference stated that the witness was treated by a physician for a severe infection after this incident but this cannot be confirmed. DEMON IN THE TREE

Tivy Valley, California - Summer 1983 - late afternoon

I was visiting a friend in the country on the outskirts of Sanger, CA. I walked across the road to go pick pomegranates that grew on the edge of an old cemetery. Most of the gravestones are from the 1800's and a are few caved in. On my way back up the road, I could 'feel' something watching me. I looked up and what I saw was unreal & definitely unexplainable. I saw a very large thing sitting in an oak tree. It was sitting in a slumped manner with both wings tucked closely next to the body. It was the size of a man, but looked like a bat, eyes were very eerie. I was so scared but I continued walking, without looking up, fearing it would notice me, noticing it. I don't know what that was, but it was very real & very much in front of me. I walked underneath it as I was passing by to get back to my friends house, it was turning its head watching me pass by. I was so scared, but I didn't dare run.

Are we facing a future of demons or what?

YOWIE?

Lake Dulverton, Tasmania, Australia - January 1987 - 2:00am

After suffering a flat tire vacationer Bill Johnstone and his friend Stella Donohue set up a tent for the night near the lake. They were awakened around 2:00am by a screeching noise. Donohue unzipped the tent and went outside to see a huge creature towering in the water. It had a tiny head, too small for it's body. Its fur was shining brilliantly silver in the moonlight and it was staring straight at him. She screamed for Bill and he raced out with a flashlight. At this time the creature was racing towards them. They grabbed the keys and ran to the car and then took off. They reported the incident to the police. A local taxi driver reported that two boats had vanished on the lake and the wreckage was never found.

Hovering saucer-shaped UFO - Clyde, Texas

MUFON CMS - Clyde, Texas - 1/23/2011: I was in Clyde, wiping down my truck, when something caught the corner of my eye. I turned and saw this unusual shaped thing hovering over the power lines... I reached for my cell phone and snapped a picture of it.

The craft was there for what felt like an eternity, but was approximately a minute. its lower edges pulsed and glowed white. It was completely silent but the strange thing about it was I could almost feel it's presence. It is hard for me to explain, almost like touching a 9Volt battery to your tongue but milder and throughout the body. Almost made me lose balance... As i stared at whatever that was, it just vanished, I mean, it just disappeared... No sound, no trail, no sonic boom, no visual distortions...

I do realize that I live close to an AFB and I know they do some top secret stuff there, but this what I saw would not be part of our Human weapons arsenal. To move the way that thing did, no chance a human could handle the shock without instant death.

aftermath: felt a bit euphoric i guess or it was the excitement of seeing something out of the ordinary... Let's not kid ourselves people... We are not alone.

Papua New Guinea man 'eats son in witchcraft ceremony'

ninemsn - Residents of a Papua New Guinea mining town say they found a man with a history of drug abuse allegedly eating his screaming, newborn son during a sorcery initiation ceremony.

Police said locals on the outskirts of the town of Tabubil, in Western Province, woke on Thursday to the screams of the baby.

Beset with the grisly sight of the father allegedly eating his child, an angry mob chased him to the police station where he was detained after a short struggle.

Police said the discovery was too late to save the baby, who died of his injuries.

Tabubil police commander Demas Tapea said officers had detained a man and his wife to assist them with their inquiries.

"It is a very disturbing incident," Sergeant Tapea said.

"The community is upset, angry but there is also a lot of fear and anxiety because there is a belief in sorcery or witchcraft."

Sgt Tapea said the main suspect was known to police.

"Locals are saying the man was carrying out a sorcery ritual, or initiation, to become part of some sort of special society," he said.

"The suspect has a long history of drug abuse and we are not surprised something like this has happened.

"A few years ago, he went crazy in what we believe was due to the effects of drugs," he said.

In 2009, it was estimated at least 50 people were killed that year in sorcery-related murders in sudden or unexplained deaths in isolated communities.

Christian missions and the Australian territorial administration of PNG, along with the PNG government, have done their best to end the belief in sorcery, but strong superstitions remain.

Man plans to build an alien spacecraft-refueling station atop Pikes Peak

csindy - When I heard about a guy in our village named UFO Phil and his plan to build an alien spacecraft-refueling station atop Pikes Peak, I had the same reaction as you: Boy, this list of City Council candidates just keeps getting more fascinating.

Turns out, though, UFO Phil has no political ambition. This makes him one of an estimated nine people in our town not running for Council or mayor. Phil would, however, like to bring a being from another galaxy to a City Council meeting, which would be a first. Unless you count Sean Paige.

Seriously, even though UFO Phil and his alien pals are not seeking local office, odd extraterrestrial life forms are still represented in the at-large Council race. I'm talking, of course, about Ed Bircham, from the solar system Krypto-Kinetic-Kaolinite or KKK, and Doug Bruce, who emerged from beneath a rock in the galaxy Azzholius, where the beings are called Azzhols.

Anyway, UFO Phil — his real name is Phil Hill — wants to construct a gigantic Egyptian pyramid fuel station on our famous mountain. You think the artist Christo has a few obstacles trying to stretch a couple of bedsheets over the Arkansas River?

"I contacted the city of Colorado Springs and the U.S. Forest Service about the hydrogen pyramid on Pikes Peak," UFO Phil said during a Sunday morning phone call. "Initially, they did not seem to take me seriously."

And yet people still pretend to listen when Mayor Lionel Rivera talks.

Briefly, here's the plan, which Phil says is based on secret blueprints and schematics given to him by the aliens: The pyramid atop Pikes Peak will be 755 feet tall and will be built with limestone blocks, each weighing 2.57 tons. Phil says 2.3 million of these stone blocks will be needed.

Phil says the massive structure can be built by just 60 men, which sounds like a lot of work, but I remind you that just last Tuesday, in only eight hours, 386 Colorado Springs city employees, working as one, filled a medium-sized pothole and unscrewed another street light bulb.

But before work begins on the alien fuel station, a few earthlings are demanding some paperwork be completed. I would like to share excerpts from UFO Phil's actual letter to the Forest Service and, more importantly as it pertains to the area of humor, portions of the Forest Service's actual reply:

Dear Mr. Jeff Hovermale of the U.S. Forest Service:

I wish to construct a stone pyramid atop Pikes Peak based on extraterrestrial technology. It would mirror the Great Pyramid of Giza when it was in pristine operating condition some 4,600 years ago.

The Forest Service must evaluate proposals to meet minimum requirements applicable to special uses per 36 CFR 251.54(3) (pre-application initial screening) criteria. An initial consideration of the pyramid-shaped power plant proposal would likely find the proposed use would unreasonably conflict and interfere with the Forest Management Plan and existing authorized uses on Pikes Peak.

Because while constructing a hydrogen-producing Egyptian pyramid atop Pikes Peak seems like a great idea, if we ignore 36 CFR 251.54(3), the next thing you know we're ignoring 36 CFR 251.54(2) and maybe even 36 CFR 251.54(6) and frankly, I don't think any of us want to live like that.

It might not even matter, because this week Phil got a new idea.

"I think I can build it without any permits," he said.

A cynic might have responded by saying, "Sure, if you quietly slip our mayor an envelope stuffed with $100 bills before he leaves office!" But I'm not like that and instead I guided the conversation toward alien abductions. I'm glad I did.

"I get abducted almost every day," Phil said. "They seem to take one day off each week."

Which makes it a lot like the mating habits of the Kardashian sisters. Although to be fair, the Kardashians are young and sexy and, well, they're only human.

Not like Doug Bruce. That Azzhol.

NASA sees little risk of Apophis smacking into us; Russian experts disagree

msnbc - In 2004, NASA scientists announced that there was a chance that Apophis, an asteroid larger than two football fields, could smash into Earth in 2029. A few additional observations and some number-crunching later, astronomers noted that the chance of the planet-killer hitting Earth in 2029 was nearly zilch.

Now, reports out of Russia say that scientists there estimate Apophis will collide with Earth on April 13, 2036. These reports conflict on the probability of such a doomsday event, but the question remains: How scared should we be?

"Technically, they're correct, there is a chance in 2036 (that Apophis will hit Earth)," said Donald Yeomans, head of NASA's Near-Earth Object Program Office. However, that chance is just 1-in-250,000, Yeomans said.

The Russian scientists are basing their predictions of a collision on the chance that the 900-foot-long Apophis will travel through what's called a gravitational keyhole as it passes by Earth in 2029. The gravitational keyhole they mention is a precise region in space, only slightly larger than the asteroid itself, in which the effect of Earth's gravity is such that it could tweak Apophis' path.

"The situation is that in 2029, April 13, (Apophis) flies very close to the Earth, within five Earth radii, so that will be quite an event, but we've already ruled out the possibility of it hitting at that time," Yeomans told Life's Little Mysteries. "On the other hand, if it goes through what we call a keyhole during that close Earth approach … then it will indeed be perturbed just right so that it will come back and smack Earth on April 13, 2036," Yeomans said.

The chances of the asteroid going through the keyhole, which is tiny compared to the asteroid, are "minuscule," Yeomans added.

The more likely scenario is this: Apophis will make a fairly close approach to Earth in late 2012 and early 2013, and will be extensively observed with ground-based optical telescopes and radar systems. If it seems to be heading on a destructive path, NASA will devise the scheme and machinery necessary to change the asteroid's orbit, decreasing the probability of a collision in 2036 to zero, Yeomans said.

There are several ways to change an asteroid's orbit, the simplest of which is to run a spacecraft into the hurtling rock. This technology was used on July 4, 2005, when Deep Impact smashed into the comet Tempel 1.

The Selling of MUFON

On Friday, I received a copy of the alleged contract that was negotiated and eventually agreed to by the Mutual UFO Network and Bigelow Aerospace Advanced Space Studies (BAASS). It was forwarded to me by the newly formed 'Committee to Reform MUFON'. I and others have written about this business relationship in the past. If this is actually a copy of the contract, then many of the concerns raised were valid:

PURCHASE AGREEMENT FOR THE ACQUISITION OF INFORMATION

This Purchase Agreement ("Agreement") dated this ______________________ day of ________________, 200__, defines a contract between Mutual UFO Network ("MUFON"), with an office located at 155 E. Boardwalk Drive, Ste. 300, Fort Collins, CO 80525, hereinafter referred to as "Seller" and Bigelow Aerospace Advanced Space Studies, LLC, ("BAASS"), a Nevada Limited Liability Company with an office located at 4640 S. Eastern Avenue, Las Vegas, Nevada 89119, hereinafter referred to as "Buyer".

1.0 This Agreement, all exhibits and other documents incorporated herein by reference, whether or not attached hereto, constitute the complete and exclusive statement of the Agreement between the parties hereto. This Agreement supersedes any previous understanding or agreement between Seller and Buyer (oral or written) with respect to the subject matter hereof.

2.0 Engagement of Services: Buyer is engaging Seller to:

a. Purchase field investigation services that provide diversified information covering the topic of aerial phenomenology and any spacecraft, mobile objects, or events that could be considered anomalous.
b. Provide to Buyer services including the Seller's existing CMS database in Read Only format and all other data.
c. Purchase from Seller field investigation services and all information and material derived from those services, including, but not limited to: Physical evidence, signature information from detection devices (including third-party witness photographs, film, data from detection devices, ground or air-derived radar data from FAA or other sources, and satellite data), ground disturbance site information and evidence including photographs and other material including effects on humans, foliage, trees, soil, fauna and insects, photographs of casts of footprints, film, any other photographs, electronic information, interview transcripts, any testimony, including recordings (audio, video, stenographic, etc.) of first-hand accounts and observations, as well as any other item that may be recovered from prior, present, and future field investigations, submitted by MUFON which shall be hereinafter referred to as the "Product " Buyer is only obligated to return original case files, photos and audio recordings to Seller providing there is a written agreement to return such property belonging to Seller or other established ownerships. Such agreements shall be executed on a case by case basis. Seller agrees to provide the labor, resources and equipment necessary to deliver the Products to Buyer upon the scheduled and terms and described within this Agreement. Strict conformity of the Product with all dimensions and specifications described in this Agreement and/or any Exhibit or attachment shall be deemed a material term of this Agreement.

3.0 Warranty of Performance. Buyer agrees to Five Thousand US Dollars ($5,000.00) per month to be spent from the Fifty Six Thousand US Dollar ($56,000) monthly payment stipulated in paragraph 8 below for a special Rewards Program. Seller intends to disburse Five Thousand US Dollars ($5,000.00) per month according to the following formula in order to fund a Rewards program that encourages and enhances the quantity and quality of the information Product. Buyer agrees to accept the following formula for the disbursement of such funds. Seller warrants that it shall follow this disbursement formula throughout the term of this Agreement. Seller's rewards disbursement formula is as follows:

a. One monthly prize for the dispatcher accumulating the most performance points as described by the MUFON SIP Project Incentives schedule attached as Exhibit A. This prize will be $500.00.
b. There will be monthly prizes for the first place and second place State Coordinators as described by monthly accumulation of performance points. First prize will be $750 and second prize will be $500.
c. There will be monthly prizes for the first, second and third place field investigators based on monthly accumulation of performance points. First prize will be $1,500, second prize will be $1,000 and third prize will be $750.

4.0 Scope of the Agreement. This Agreement shall not be interpreted as having any characteristics or force as a partnership agreement of any kind between the parties hereto. Buyer shall not at any time and is specifically precluded from providing during the term of this Agreement any advice, consultation or management to Seller.

5.0 Term. The term of this Agreement shall be one year from the date of execution subject to the terms and conditions of Paragraph 6.0 below. Buyer shall have an option to renew this Agreement at the conclusion of each one-year period. Buyer shall notify Seller of its intent to exercise this option in writing five (5) days prior to the expiration of the Agreement subject to Paragraph 5.0 below. Seller can terminate this agreement at any time upon Fifteen (15) days written notice to Buyer providing Seller refunds to Buyer a prorated amount of monies previously distributed from Buyer to Seller for the remaining unused time in that particular month. Under no circumstances shall such notice be permitted to be delivered when insufficient time is available to allow said notice to expire within the current month of delivery.
6.0 Product Delivery: The Parties understand and agree that time is of the essence. The Product shall be delivered in the following manner:

a. Buyer shall be given Administrator Access to Seller's CMS in order that Buyer may have "real-time" access to such information within 24 hours of the execution of this Agreement.
b. Weekly written reports shall be delivered by Seller to Buyer via facsimile by 5:00 pm PDT on the Friday of each week throughout the term of this Agreement to a destination facsimile number given to Seller in writing by Buyer. The Weekly report shall set forth in detail all field investigation activities encompassing all applicable items set forth in Paragraph 2.0 above occurring for the previous seven-day period.
c. The Weekly report shall also set forth the investigation plan for the next seven days for each active case investigated.
d. Monthly written reports and monthly financial statements shall be delivered via FedEx to Buyer by the tenth (10th) day of each calendar month following execution of this Agreement. Seller shall deliver two copies each of the written and financial statements to Buyer at 4640 S. Eastern Avenue, Las Vegas, NV 89119 or such other address as may be directed in writing by Buyer. The monthly written report shall include an executive summary and a detailed exposition of all MUFON activities of the previous month as they pertain to this Agreement. It shall also set forth all field investigation activities encompassing all applicable items set forth in Paragraph 2.0 above occurring for the month being reported. The monthly financial statement shall encompass all items set forth in Paragraph 8.0 below.
e. All other information and evidence as described in Paragraph 2 shall be delivered via FedEx to Buyer at 4640 S. Eastern Avenue, Las Vegas, NV 89119, or such other address as may be directed in writing by Buyer. Seller agrees to properly safeguard and protect all evidence strictly in accord with the specifications regarding protection of the field investigation site, establishing chain of custody, and preservation of evidence prior to shipping as required by Buyer.

7.0 Seller Product and Performance Review: Buyer shall review the quality and quantity of the Product delivered through approximately the first four to five months of the term of this Agreement ("The Performance Review"). The Performance Review shall take place during the second half of June, 2009 and will require Buyer to determine three possible actions based upon Seller's performance. Those actions are:

a. Immediate termination effective June 30, 2009, of the contract for Seller's failure to provide the quality and quantity of information to the satisfaction of Buyer.
b. Continuation of the Agreement under the same terms and conditions as agreed.
c. Continuation of the Agreement with a merit-based increase in price for the Product.

In the event continuation of the Agreement is chosen, a second Performance Review shall be conducted during the second half of October, 2009. The criteria for the second Performance Review and any subsequent Performance Review shall be a, b, and c above. The critical decision date for the June, 2009 Performance Review shall be June 26, 2009, and the critical decision date for the October, 2009 Performance Review shall be October 27, 2009 with the termination date, if applicable, to be October 31, 2009.

8.0 Price and Payment: Subject to Paragraph 6.0 above, the total fixed price payable to Seller for the goods and services of this Agreement is Six Hundred Seventy-two Thousand US Dollars ($672,000US) payable in twelve monthly installments of Fifty-six Thousand US Dollars ($56,000US). The total fixed price paid by Buyer to Seller shall be for the Product as described in Paragraph 2.0 above and deliverables as described in Paragraph 5.0 above. Seller agrees to be responsible for and pay all sales tax, use tax, and all contributions for health insurance, social security charges, employment taxes, customs duties, if any, and any and all other surcharges, fees, worker's compensation premiums or other labor related taxes, fees or premiums arising in connection with the performance of the scope of work of this contract. This is a "Turn-key" price Agreement. Seller will not and shall not seek to pass-along any additional costs that it may incur in connection with any activity that it may require in order to produce or deliver the Product as set forth in Paragraph 2 or deliverables as defined in Paragraph 5. In the event Buyer is found to be liable for any of the costs described above, Seller shall indemnify Buyer to the full extent as set forth in paragraph 10.0 below.

9.0 Financial Statements. As a condition of this contract, MUFON shall submit an itemized account of disbursements, on an approved BAASS format, on a monthly basis, no later that the 10th of each month. Further, BAASS may, at its discretion, request and receive within 10 days additional detailed information relative to any allocation or expenditure of monies paid to MUFON.

This supporting information may include (but not be limited to) invoices, receipts, statements, contracts, time/payroll reports, independent contractor submissions, and summarizing schedules, which shall allow easy correlation from the detail to the total expenditures.

10.0 Terms: The first prorated payment shall be made to Seller within three business days after complete execution of this Agreement. Each month thereafter payment shall be made on or before the fifth day of each month.

11.0 Modifications: This Agreement may only be modified by a written instrument, signed by both parties. Such a written instrument is only valid if signed by Robert T. Bigelow and identifies specifically the sections of this Agreement affected along with the specific changes caused by signing the written instrument.

12.0 Non-Waiver: Failure of Buyer to insist on any term of this Agreement shall not release Seller from any warranties or obligations under this Agreement and shall not be deemed a waiver of any right of Buyer to insist upon strict performance hereunder of any of its right and/or remedies.

13.0 Hold Harmless: Seller assumes all risks in furnishing the goods and services ordered hereunder and shall indemnify, defend and hold harmless Buyer or any affiliates from and against any and all such claims, debts, demands, judgments, awards, losses, liabilities, interest, attorneys fees, costs and expenses arising out of any failure of Seller to perform any of the terms and conditions of this Agreement.

14.0 Indemnity Against Patent Infringement:

A. Seller shall indemnify, hold harmless, and defend, at Seller's expense, Buyer and/or Buyer's customers against any and all losses, damages, liabilities, claims, settlements, and judgments resulting from an allegation of infringement or misappropriation of an intellectual property right (whether or not successful), as well as attorney's fees, expert's fees, consultant's fees, court costs, and related expenses incurred by Buyer and/or Buyer's customers in defending such an action. Seller shall provide to Buyer a suitable substitute product with Buyer's written approval and at Seller's expense if an injunction issues covering the subject matter of this Agreement. This indemnity shall not apply to products that are made to a specific and detailed design furnished by Buyer.

B. Seller shall notify Buyer in writing of any claim of infringement or misappropriation related to the subject matter of this Agreement immediately upon Seller's receipt of notification of such claim(s). Buyer shall have the option to control the defense and related negotiations of any suit, proceeding, or action of infringement or misappropriation against Buyer without expense or liability pursuant to the terms of this Agreement.

15.0 Intellectual Property Rights. Intellectual property rights and the nature of ownership of physical materials and the particular permissions surrounding destructive testing shall be determined on a case by case basis through written permission from MUFON when and where such materials are offered to Buyer. Seller shall notify Buyer in writing of any claim of infringement or misappropriation of Intellectual Property immediately upon Seller's receipt of notification of such claim(s). Buyer shall have the option to control the defense and related negotiations of any suit, proceeding, or action of infringement or misappropriation against Buyer without expense or liability pursuant to the terms of this Agreement.

16.0 Compliance: Seller shall produce, furnish and deliver all Products to be provided in strict compliance with any and all terms of this Agreement.

17.0 Warranty: Exhibit A attached to this Agreement shall specify the term for any additional warranties by Seller pertaining to all deliverables subject to this Agreement.

18.0 Applicable Law and Jurisdiction: The parties agree 1) to personal jurisdiction in the State of Nevada; 2) the laws of the State of Nevada shall govern the validity, performance and enforcement of the terms and conditions of this Agreement, and; 3) any proceedings with respect to the performance or enforcement of this Agreement shall be brought in a court of competent jurisdiction in the State of Nevada.

19.0 Severability: If any portion of this Agreement is held invalid, the Parties agree that such invalidity shall not affect the validity of the remaining portions of this Agreement, unless applying the remaining portions would frustrate the purpose of this Agreement.

20.0 Acceptance: Seller can only accept this Agreement on the exact terms set forth. The Seller can only make acceptance by executing this Agreement and initialing all attached exhibits within seven (7) calendar days of the Agreement date.

21.0 Delegation of Performance: No delegation of performance by Seller is permitted unless the delegation is approved in a writing specifically identifying the authorization to delegate and signed by an executive of Buyer.

First of all you must ask 'what was the product?'...well, it was MUFON. "the Seller's existing CMS database and all other data," as well as "field investigative services and all information and material derived from those services, including but
not limited to...physical evidence...photographs, film, data from detection devices...radar...satellite data, ground disturbance site information...electronic information, interview transcripts, any testimony, including recordings..as well as any other item that may be recovered from prior, present and future field investigations [of] MUFON. This is "the Product." Simply, every bit of data collected by MUFON volunteers was now the property of the Buyer.

Another point...MUFON assumes all risks and responsibility. In other words, MUFON would pay all claims, would pay to defend itself, and would pay to defend the Buyer and it's affiliates and customers. Though the Buyer may control the entire handling of a lawsuit or claim, the Buyer would not generate any liability. There is more, specifically pertaining to strict compliance by MUFON.

It's obvious that the contract was written solely by the Buyer's attorneys. In less than a year, this contract defaulted...for various reasons which I'm not going to get into right now. The bottom line is that MUFON seemed to be out of it's element when an influx of funds started to pour in on a monthly basis.
